We are growing and in search of a Director of M&A and Development to join our team!

 

This is a hybrid role that requires 1-2 days on-site at our corporate office in Grosse Pointe, MI. 

 

Our Company currently operates more than 15 women’s healthcare private practices across MI, IL, AL, MS, and CO and is a portfolio company of Shore Capital Partners. The Director of M&A and Development will partner with the Chief Growth Officer, VP of M&A, VP of Integrations, Business Development Team, and Shore Capital to develop analyses and manage execution of the TWH acquisition growth strategy.  The Director will be responsible for leading all new acquisition analysis, process and evaluation  as our team adds potential partners.  

Responsibilities

Essential Duties and Responsibilities:

The following duties and responsibilities generally reflect the expectations of this position but are not intended to be all inclusive.

 

In addition to core responsibilities, the Director will be a critical contributor to development presentations, including offer presentations to potential partners, as well as post-partnership “Out of the Gate” analyses and the development of new processes and procedures in a high growth business with the opportunity to gain significant responsibility based upon performance.

 

General

  • Run point on data collection, financial analysis and structuring for acquisitions, de novos, and strategic service lines, coordinating with CGO, VP of M&A and VP of Integrations (Pre- and Post-LOI)
  • Responsible for all financial, value, and risk analyses of each acquisition opportunity, including impact on total returns, and assist in broader due diligence acquisition analysis surrounding benefits, 401K and insurance expenses
  • Responsible for underwriting key value levers into each acquisition and tracking out of the gates analysis post partnership
  • Help construct presentations to communicate business development progress to senior leadership team and private equity partner
  • Support CGO with business development metrics / ROI based on pipeline and deal flow, helping monitor KPIs and compare to internal and external benchmarks
  • Evaluate and identify opportunities for improvement in the M&A process

Pre-Letter of Intent

  • Evaluate relative attractiveness of investment opportunities, including new and expanded services and facilities, through preparation of financial analyses
  • Work with CGO and VP of M&A to evaluate targets and quickly assess investment rationale, valuation, and structure
  • Lead all financial analyses, structure, terms, and assist with the negotiations for each partnership, ensuring alignment with TWH and Shore Capital goals
  • Help finalize and construct presentations to communicate offers to sellers, adjusting for deal nuances, and unique deal points needed to be conveyed in a concise, easy to follow manner
  • Finalize and prepare offers for IC presentation to senior leadership and Shore

Letter of Intent Negotiations

  • Support CGO on LOI feedback and internal assessment, analysis and recommendations to ELT on each partnership
  • Sign off on financial analyses and risk profiles associated with any negotiations
  • Work with CGO and VP of Integrations to quickly respond to Seller requests

Post-Letter of Intent

  • Manage and lead best-in-class financial due diligence process by assisting in new acquisition due diligence and integration processes providing necessary support and coordination between stakeholders
  • Run point on and coordinate with VP Integrations on Quality of Earnings, go-forward compensation projections for sellers, working capital / minimum cash analyses and inputs for TWH Compensation Model and MSO Fees
  • Finalize closing deliverables with Shore Capital and our lending partner, including final investment committee memo, funding documents, and covenant material
  • Lead investment opportunity discussions of add-on acquisitions

Qualifications

Position Qualifications:

Qualifications of the successful candidate will include:

  • Minimum of 5+ years of experience in management consulting, corporate strategy, private equity or investment banking
  • Minimum 5+ years of experience with financial underwriting required
  • Excellent communication and leadership skills on a fast-moving, high velocity M&A team
  • Exceptional written and oral presentation skills; ability to present concisely and with detail
  • Strong project management and organizational skills; must be able to manage and prioritize multiple business objectives and projects with the proper sense of urgency and autonomy
  • Must have strong analytical (quantitative as well as qualitative) skills including building financial models
  • Bachelor’s degree in Finance, Accounting or a business-related major preferred but not required
  • Advanced Microsoft Excel, PowerPoint and Word skills

Compensation:

Compensation will be competitive and commensurate with experience and will include an attractive base salary and performance-based bonus (dependent on experience). We offer an attractive comprehensive benefits package, including medical, dental, vision, and 401K benefits (with match).h).
